1. OUR SERVICES

Digital Suite Automate provides a comprehensive suite of tools for managing marketing, automation, customer relationships, and business processes. Key features include, but are not limited to:

• CRM Tools: Manage leads, customer relationships, and sales pipelines.

• Automation and AI Tools: Automate marketing, communication workflows, and content generation.

• Webbots: Live chat and AI-driven chatbots for customer engagement.

• Social Media Scheduling: Schedule posts across social platforms.

• Email and SMS Campaigns: Create and send bulk email and SMS messages.

• Landing Page and Funnel Builders: Create sales funnels and landing pages.

• Analytics and Reporting: Track campaign performance, customer interactions, and business KPIs.

Your use of the Services must comply with all applicable local, national, and international laws and regulations.

2. ACCOUNT REGISTRATION

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information.

• Maintain the confidentiality of your login credentials.

• Be responsible for all activities under your account.

We reserve the right to suspend or terminate accounts that violate these Terms, including activities such as spam, unlawful use, or failure to maintain accurate account information.

3. BILLING, PAYMENTS, AND SUBSCRIPTIONS

We offer Services billed in US Dollars (USD), British Pounds (GBP), or South African Rand (ZAR), depending on your location. Charges include subscription fees and may also include additional usage-based fees.

3.1 Subscriptions:

Your subscription will auto-renew unless canceled. You authorize us to charge your payment method on a recurring basis for the subscription fees. All fees are exclusive of applicable taxes.

3.2 Usage-Based Charges:

Certain features, such as SMS, email, phone calls, and AI-based services, may incur additional charges based on actual usage. Pricing for these services is subject to change and will be displayed clearly before use. You agree to review and understand these charges.

Subscribers will incur additional charges for usage-based services, which will be billed directly to their Digital Suite Automate Wallet based on actual usage. These charges may vary by region and are subject to change. Below is a breakdown of current usage-based charges:

1. Making Calls: Starting at $0.0308 per minute for outgoing calls and $0.0187 per minute for incoming calls.

2. Text Messages (SMS): Starting at $0.0174 per message segment.

3. Email Sending: Starting at $0.001485 per email sent.

4. Dedicated IP: $130 per month for clients requiring a dedicated IP address.

5. Premium Triggers & Actions: Starting at $0.022 per workflow premium action or trigger.

6. LC Email Verification: Starting at $0.0055 per email verification.

7. Content AI: Starting at $0.198 per 1,000 words generated and $0.132 per image.

8. Workflow AI: Starting at $0.066 per execution for GPT-4 and 4o, and $0.033 for GPT-3.5 & 4o Mini executions.

9. Conversation AI: Starting at $0.044 per message processed.

10. WhatsApp Conversations: Starting at $0.1628 per conversation (business-initiated, rates vary by region).

11. Reviews AI: Starting at $0.176 per review response.

12. Auto-Complete Address: Starting at $0.006538 per search result and $0.01155 per result selection.

Please note that these charges may be updated from time to time, and different rates may apply depending on the country or specific user settings. Subscribers are encouraged to regularly review their usage and associated charges in the billing section of the platform.

3.3 Cancellation:

You may cancel your subscription by giving one month’s notice via the platform or by contacting support. No refunds will be issued for any prior payments.

4. SOFTWARE AND LICENSE

Digital Suite Automate grants you a limited, non-exclusive, non-transferable, revocable license to use the software provided as part of the Services. This license is subject to your compliance with these Terms and is solely for the purpose of accessing the Services for personal or internal business use.

You may not:

• Modify, reverse-engineer, or create derivative works based on the software.

• Use the software for any unauthorized commercial purpose.

5. USAGE LIMITATIONS AND PROHIBITED ACTIVITIES

You may not use the Services for any illegal or unauthorized purpose. This includes:

• Spamming: Sending unauthorized bulk emails, SMS, or other unsolicited messages.

• Data Scraping: Systematically retrieving data from the Services to create a database or directory.

• Harmful Conduct: Using bots, scripts, or other automated methods to manipulate the system.

• Circumventing Security: Attempting to bypass security measures of the Services.

Violation of these restrictions may result in suspension or termination of your account.

6. THIRD-PARTY INTEGRATIONS

The Services may integrate with third-party services (e.g., Twilio for SMS, Google for ads). By using these integrations, you agree to the terms and conditions of those third-party services. You are responsible for ensuring that your use of such integrations complies with all applicable laws, including obtaining necessary consents from individuals whose data may be processed through the integrations.

All intellectual property rights in the Services, including content, designs, software, and trademarks, are owned by or licensed to Digital Suite Ltd. In the event of a dispute, we encourage you to first contact us to seek an informal resolution. If informal negotiations do not resolve the issue, further legal action may be pursued.

For users in the UK, disputes will be resolved by binding arbitration under the UK Arbitration Act 1996.

11.3 Jurisdiction:

These Terms are governed by the laws of England and Wales. For users in other jurisdictions, local laws may apply, but disputes will be subject to UK jurisdiction unless otherwise specified.

11.4 California Users:

California residents are entitled to specific consumer protections under the California Consumer Privacy Act (CCPA). For any unresolved issues, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs.
